Change of Directors and Board Members

Kirin Holdings Company, Limited (“Kirin Holdings”) hereby announces the board appointed today the director candidates and audit & supervisory board member candidates of Kirin Holdings and its subsidiaries, Kirin Company, Limited (“Kirin Company”) and Kirin Beverage Company, Limited (“Kirin Beverage”).

1. Kirin Holdings

(1) The reasons for the change

Kirin Holdings, as part of the improvement of corporate governance which contributes to further transparency and fairness of the management and enhancement of the corporate value from mid-long term perspective, has decided to increase the number of outside directors by one to four, resulting in seven outside board members including three audit & supervisory board members. Kirin Holdings will also appoint Mr. Toshio Arima, one of the outside directors, as chairman at the board meeting in order to further strengthen management supervision function by the board of directors.
Furthermore, aiming at accelerating the diversity of the board of directors, the Kirin Group is aggressively promoting the appointment of female board members. The number of female outside directors in the Kirin Group will be increased by nominating Ms. Kimie Iwata as an outside director, Ms. Chieko Matsuda as an audit and supervisory board member of Kirin Holdings, and Ms. Akiko Nakajo as an outside director of Kirin Company.
